Royalty-Free Photo Usage Agreement:

This Agreement (“Agreement”) is made effective as of January 1, 2025, by and between North Carolina Photography dba Charlotte Photography (“Licensor”) and any individual, organization, or business entity who downloads and uses an image from Charlotte-Photographer.com (“Licensee”).

Grant of License: Licensor grants Licensee a non-exclusive, non-transferable license to use the royalty-free photographs provided by Licensor, solely for online usage and editorial purposes. For clarity, “editorial purposes” includes use in newsletters, e-books, and other non-commercial informational materials. This includes but is not limited to websites, blogs, social media, educational purposes, news and editorial publications. For the purposes of this Agreement, “royalty-free” means that Licensee is not required to pay ongoing royalties for the specified uses but must adhere to all other terms of this Agreement.

Edits:
If the Licensor’s watermark is removed from the original photographs, the Licensee MUST credit when possible as shown: Charlotte Photography | Charlotte-Photographer.com | @CLT_Pix. If crediting is not feasible, Licensee must obtain written approval from Licensor for alternative attribution.

Restrictions:
Licensee shall not use the photos for commercial advertising, television, or any profit or resale purposes without written permission. For the purposes of this Agreement, “commercial advertising” refers to any use intended to promote a product, service, or brand for financial gain. The photographs shall not be sublicensed, resold, archived, or redistributed in any manner.

Ownership:
Licensor retains all rights, titles, and interest in and to the photographs, including all copyrights and intellectual property rights. Licensee acknowledges that this Agreement does not transfer any ownership rights to Licensee.

Indemnification:
Licensee agrees to indemnify and hold Licensor harmless from any claims, damages, or losses arising out of Licensee’s use of the photos in violation of this Agreement.

Termination:
This Agreement shall terminate automatically if Licensee breaches any of its terms. Licensor reserves the right to notify Licensee of the breach and request remedial action within a reasonable timeframe. Upon termination, Licensee shall cease all use of the photos and delete or destroy any copies in its possession.

Perpetuity:
The rights granted to Licensee under this Agreement shall be perpetual, unless terminated by Licensee in accordance with the terms herein, and shall extend to all current and future formats and media types, including those that may arise due to technological advancements. Any termination must be communicated in writing to the other party.

Governing Law: This Agreement shall be governed by and construed in accordance with the Federal Copyright Laws in the United States of America. Any disputes arising under this Agreement shall be resolved in the appropriate courts within the jurisdiction of North Carolina or Washington D.C. in the United States of America, with the Licensee having the discretion to choose between the two, unless otherwise agreed in writing by both parties.

By downloading and using the files, the Licensee agrees to the above.
